Acceptance of Terms

By accessing this website, submitting a consultation request, communicating with Bharadwaja Innovations, or engaging our services, you agree to these Terms of Service and any applicable proposal, statement of work, invoice, or written service agreement.

If a separate written agreement conflicts with these website terms, the signed agreement will control for that specific engagement.

After reviewing the options, we help the client select the most valuable MVP based on business priority, budget, timeline, comfort level with AI, expected operational value, and ease of adoption.

Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, required access, relevant documents, approval decisions, and business context needed to perform the work.

Clients are also responsible for reviewing AI outputs, automation behavior, public website content, business communications, and final deliverables before using them in real operations.

  • Provide truthful and complete workflow, business, and technical information.
  • Obtain permission to share any third-party, customer, employee, vendor, or confidential information used in the project.
  • Review and approve deliverables, AI outputs, website copy, automations, and integrations before launch.
  • Maintain appropriate internal controls, user access, passwords, permissions, and operational supervision.

AI Output Disclaimer

AI systems can produce incomplete, inaccurate, outdated, biased, or unexpected outputs. We design practical safeguards, prompts, instructions, approval points, and testing processes, but AI output should be reviewed by the client before it is used for important decisions or customer-facing communication.

Clients remain responsible for how AI outputs are used in their business, including communications, recommendations, summaries, reports, estimates, customer responses, and operational decisions.

No Guaranteed Results

We aim to help clients save time, reduce manual effort, improve workflow clarity, and operate more efficiently. However, we do not guarantee specific revenue, profit, cost savings, lead volume, ranking, customer conversion, business outcome, or regulatory result.

Results depend on the client's workflow, adoption, available data, team participation, third-party tools, market conditions, and ongoing operational management.

Payment Terms

Fees, deposits, payment schedules, subscriptions, platform costs, milestone payments, and billing terms are defined in the applicable proposal, invoice, statement of work, or written agreement.

Work may be paused for late payments, missing approvals, unpaid invoices, expired payment methods, or delays that prevent reasonable progress.

Scope Changes

Any work outside the approved scope may require a written change order, revised estimate, new timeline, or additional fees. Examples include extra pages, new automations, additional integrations, expanded AI agent responsibilities, new data sources, major copy revisions, or additional governance documentation.

We will communicate scope changes in a practical and transparent manner before performing material additional work.

Intellectual Property

Unless a written agreement states otherwise, Bharadwaja Innovations retains ownership of its pre-existing methods, templates, know-how, reusable components, frameworks, internal tools, design systems, and general automation approaches.

Client-provided materials remain the client's property. Final deliverables created specifically for the client may be transferred or licensed according to the applicable written agreement after payment obligations are satisfied.

Third-Party Tools and Platforms

Projects may rely on third-party AI providers, automation platforms, hosting providers, analytics tools, website frameworks, CRM systems, form tools, spreadsheet tools, scheduling tools, communication platforms, APIs, or other software.

Third-party services are governed by their own terms, pricing, limits, privacy policies, security practices, uptime, and feature changes. The client is responsible for third-party accounts, subscription fees, and compliance with third-party requirements unless otherwise agreed in writing.

Confidentiality

Both parties should handle non-public business, technical, operational, financial, customer, and project information with reasonable care. Confidentiality obligations may be expanded in a proposal, statement of work, non-disclosure agreement, or master services agreement.

Confidentiality does not apply to information that is publicly available, independently developed, already known without restriction, or lawfully received from another source.

Limitation of Liability

To the fullest extent permitted by law, Bharadwaja Innovations will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from website use, consultations, AI outputs, third-party tools, project delays, automation behavior, or business decisions.

Our total liability for a specific engagement will not exceed the amount paid to Bharadwaja Innovations for the services giving rise to the claim, unless a separate written agreement states otherwise.

Termination

Either party may terminate an engagement according to the terms in the applicable proposal, statement of work, or written agreement. If no separate termination terms exist, either party may request termination in writing.

The client remains responsible for approved work performed, third-party costs incurred, non-cancelable expenses, and unpaid invoices through the termination date.

Governing Law

These Terms and any service relationship will be governed by the law identified in the applicable proposal, statement of work, or written agreement. If no governing law is specified, the parties should define the appropriate jurisdiction before final launch or before entering a paid engagement.

This section should be reviewed with legal counsel once the company's final operating location and preferred jurisdiction are confirmed.
